Please read these terms carefully before using VidLocalizer software or website

These Terms of Use ("Terms") constitute a legally binding agreement between you and VidLocalizer ("we", "us", "the Company") governing your access to and use of the VidLocalizer desktop application, website, and any related services (collectively, the "Service").

By downloading, installing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service.

1 Eligibility & Account Registration

You must be at least 16 years old to use the Service. By agreeing to these Terms you represent that you meet this requirement.

To access the full functionality of VidLocalizer you must create an account and connect a Google account with YouTube channel access. You are responsible for:

  • Providing accurate and up-to-date registration information.
  • Keeping your login credentials confidential.
  • All activity that occurs under your account.
  • Notifying us immediately of any unauthorized access at support@vidlocalizer.com.

We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

2 License & Permitted Use

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Download and install one copy of the VidLocalizer application on devices you own or control.
  • Use the Service solely for your personal or internal business purposes — translating and localizing your own YouTube content.

Plan limits apply. The number of videos you may translate per calendar month is determined by your subscription plan (Basic: 10 videos, Professional: 30 videos, Business: 60 videos). Unused quota does not roll over to the next billing period.

This license does not include the right to sublicense, resell, or provide access to the Service to third parties unless you are an agency operating under the Business plan on behalf of your direct clients.

3 Subscriptions, Payments & Trials

Free Trial

New users may activate a 3-day free trial for any plan. A valid payment method is required to start the trial. You will not be charged during the trial period. If you do not cancel before the trial ends, your payment method will be charged the full monthly price of the selected plan.

Billing

Subscriptions are billed monthly on the anniversary of your sign-up date. All prices are stated in USD and are exclusive of applicable taxes. You authorize us to charge your payment method on each billing date.

Cancellation & Refunds

  • You may cancel your subscription at any time from your account dashboard.
  • Upon cancellation, your access continues until the end of the current paid billing period. No partial refunds are issued for unused time.
  • If you cancel during the free trial, no charge is made.
  • Refund requests for billing errors or technical failures preventing app use are evaluated case-by-case. Contact support@vidlocalizer.com within 7 days of the charge.

Plan Changes

You may upgrade or downgrade your plan at any time. Upgrades take effect immediately (with prorated billing); downgrades take effect at the next billing cycle.

Price changes: We may update subscription prices with 30 days' advance notice by email. Continued use after the effective date constitutes acceptance of the new price.

4 YouTube API & Google Account

VidLocalizer integrates with the YouTube Data API v3 via Google OAuth 2.0. By connecting your Google account you also agree to:

You are solely responsible for any content uploaded to YouTube via the Service. We act as a technical intermediary and do not review or endorse the translations or the underlying videos.

You may revoke the app's access to your Google account at any time through your Google Account permissions page. Revoking access will disable YouTube-connected features of the app.

Quota usage: The Service operates within YouTube API quota limits. We cannot guarantee availability of API-dependent features if Google imposes quota restrictions. This does not entitle you to a refund.

5 Prohibited Conduct

You agree not to use the Service to:

  • Translate, upload, or distribute content that is illegal, defamatory, harassing, obscene, or infringes third-party intellectual property rights.
  • Circumvent, disable, or interfere with security features or technical limitations of the app or the YouTube API.
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the application.
  • Use automated scripts or bots to interact with the Service beyond its intended functionality.
  • Resell, sublicense, or offer the Service as a white-label product without a written agreement with us.
  • Use the Service in a way that violates the YouTube Terms of Service or Google API Terms of Service.
  • Attempt to gain unauthorized access to other users' accounts or our infrastructure.

We reserve the right to immediately terminate your account for any violation of this section without refund.

6 Intellectual Property

The VidLocalizer application, website, branding, and all associated technology are the exclusive intellectual property of the Company, protected by copyright, trademark, and other applicable laws.

Your content: You retain all rights to your original video content, subtitles, titles, and descriptions. By using the Service you grant us a limited, royalty-free license to process your content solely to provide the translation service.

Translation output: Translated content generated by the Service from your original material is your property. We make no claim to ownership of the translations.

Feedback: If you provide suggestions or feedback about the Service, we may use it freely without obligation to you.

7 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, error-free, or secure at all times.
  • Translation results will be accurate, complete, or suitable for any specific purpose.
  • The Service will remain compatible with future versions of the YouTube API or operating systems.
  • Any specific growth in views, subscribers, or revenue will result from using the Service.

Statistical figures cited on our website (e.g., "+280% average views growth") are based on aggregated user data and are not guaranteed outcomes for any individual channel.

8 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 3 MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability — in such cases our liability is limited to the greatest extent permitted by law.

9 Indemnification

You agree to defend, indemnify, and hold harmless the Company and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your violation of these Terms.
  • Your use of the Service in a manner not authorized by these Terms.
  • Content you upload or publish via the Service that infringes third-party rights.
  • Your violation of YouTube's Terms of Service or Google's API policies.

10 Termination

By you: You may stop using the Service and delete your account at any time via the account dashboard.

By us: We may suspend or terminate your access immediately, with or without notice, if:

  • You breach any provision of these Terms.
  • Your use endangers the security or performance of the Service.
  • We are required to do so by law or a court order.
  • We discontinue the Service (with 30 days' notice).

Upon termination, your license to use the software ends immediately. Sections 6, 7, 8, 9, and 11 survive termination.

11 Governing Law & Disputes

These Terms are governed by and construed in accordance with applicable law. Any dispute arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation by contacting support@vidlocalizer.com.

If a dispute cannot be resolved informally within 30 days, it shall be submitted to binding arbitration. Nothing in this section prevents either party from seeking injunctive relief in a competent court to prevent irreparable harm.

For users in the European Union: nothing in these Terms affects your statutory consumer rights or rights under applicable EU/EEA legislation.

12 Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email at least 14 days before the new Terms take effect and display a notice in the app.

If you continue using the Service after the effective date, you accept the updated Terms. If you disagree with the changes, you must cancel your subscription before the effective date.

The "Last updated" date at the top of this page always reflects when the Terms were last revised.
